Data Room

A data room is a secure, today usually virtual area where potential buyers can review a company's documents. Contracts, financial figures, and other documents are made available there for due diligence. Access is strictly controlled to protect confidential information. It is organised along a structured index by topic such as corporate, finance, tax, contracts, employment, real estate, intellectual property, insurance, litigation and IT, and is opened up by that index, which later serves as evidence of the scope of disclosure. Technically, the usual providers offer tiered permissions, watermarking, restrictions on downloading and printing and complete access logging. Sellers also read those logs as an indicator of how seriously a bidder is working.

Legally the data room is far more than a repository, because the purchase agreement may provide that properly disclosed matters limit warranty liability. The data room is therefore secured at the end of the process on an unalterable medium and attached to the agreement. Two topics require particular care: where competitors are bidding, competitively sensitive data such as prices and customer terms may go only to a ring-fenced clean team, since otherwise competition law is at risk, and personal data may be shared only to the extent necessary and legally permitted. Redaction, pseudonymisation and restricted access can help. The data room is complemented by the question and answer process, in which follow-up questions are answered on the record.

Staged release is common, with particularly sensitive documents becoming accessible only after a binding offer or after exclusivity has been granted. This protects the seller if the process is abandoned. Careful review of one's own documents before opening has also proven valuable, because incomplete contracts, missing resolutions or conflicting versions cost trust unnecessarily during the process.
