Portfolio Company

A portfolio company is a business in which a fund holds an investment. Buyout funds normally hold majority stakes with control over the board and the capital structure, while venture and growth funds hold minorities that exert influence through veto rights rather than votes. The typical holding period is five to seven years, during which the fund works along a value creation plan on revenue growth, margin improvement, add-on acquisitions and on reporting, management structure and systems. For the company the investment noticeably changes day-to-day life: monthly reporting in a defined format, board meetings at a regular rhythm, a catalogue of matters requiring consent, a robust business plan and often a strengthening of the second management tier.

The fund contributes not only capital but experience from comparable situations, access to networks and support with acquisitions and financing. It ends in an exit through a sale to a strategic buyer, to another financial investor or via the stock market. For the fund each portfolio company is both a source of return and a resource question, because the investment team's capacity to support it is finite and a weak company absorbs disproportionate time.

For sellers and management it therefore matters how many holdings a team supports at once and how much support can realistically be expected. Reporting to investors is usually quarterly and covers, for each holding, the current valuation, operating performance and the planned next steps. For internal management, funds often classify holdings by status, for example those requiring action, those performing to plan and those ready for sale, because team attention is the scarcest resource. Legally the holding is usually held through an intermediate holding company that takes on the acquisition financing and ring-fences liability from the other investments.
