The Q&A process is the structured procedure through which bidders can ask questions during due diligence. They submit their questions in an organised way and receive answers from the seller. This allows uncertainties to be clarified in an orderly manner without disrupting the sales process. Technically it runs through the data room system: questions are numbered, assigned to a topic and a document, forwarded to the responsible advisor, answered there, cleared by the seller's advisor and made visible to the bidder that asked. Limits on the number of questions per bidder and fixed response deadlines are customary, to keep the burden on management manageable.

The process serves three functions. First, it clarifies open points without bidders approaching individual employees in an uncoordinated way. Second, it documents completely what information was given and when, which matters legally because the answers form part of disclosure and shape the scope of later warranty protection. Third, it gives the seller an impression of how seriously and competently a bidder works, which feeds into selection.

For bidders, framing questions is therefore a task in its own right: precise questions tied to specific documents produce usable answers, while general questions produce general answers and no basis for price arguments. Operationally, questions in the data room are categorised by topic, assigned to an owner on the seller side and given a deadline, so the process does not stall in individual departments. For the seller the pattern is also an early indicator: bidders that submit few general questions late are usually not working seriously on an offer, while dense and precise questions point to substantive interest. The exchange is documented centrally. The process rules determine which answers are shared with other bidders and which direct discussions are permitted.
