A trade sale is the sale of a company to a strategic buyer from the industry. Such a buyer usually wants to realise synergies or expand its market position. For investors, the trade sale is a common way to exit an investment. The economic advantage is that a strategic acquirer can build synergies into its valuation and therefore justify a price a financial sponsor cannot reach on a stand-alone basis. How much of that actually reaches the price is decided by competition in the process.

Practical matters stand against this: diligence is more thorough because the company is to be integrated, warranty demands are broader, internal decision-making takes longer, and where competitors are buying, merger clearances and the ring-fencing of sensitive data in the data room are added. For mid-market sellers the non-financial dimension also matters: a strategic buyer usually does not continue the company independently but absorbs brand, sites and structures, with significant consequences for employees and management. Anyone choosing this route should therefore clarify early what commitments on sites and employment are achievable.

Compared with a sale to a financial sponsor, a trade sale is usually the more final step. The process follows the classic sale sequence of preparation, outreach, diligence and negotiation, but differs in two respects: outreach is to a narrower group because competitors gain insight into sensitive data, and the data room is therefore opened in stages, with the most critical documents released only later or in an adviser-only section. Merger control limits the exchange of information between competitors before closing, which is why a clean team is frequently set up to analyse the data without passing it to operating management.
