Buy-and-Build

Buy-and-build is a strategy in which an investor buys a platform company and rapidly expands it through further acquisitions. The acquired companies are combined into a stronger overall group. The goal is to create more value through scale and integration than with a single company. The starting point is the platform investment, a company with capable management, functioning systems and enough scale to absorb further units.

Bolt-on acquisitions follow, adding regions, products or customer groups. The value creation has three parts: organic growth of the platform, synergies from joint purchasing, shared overhead and pricing power, and multiple arbitrage, because small targets are bought at lower multiples and later sold as part of a larger group at a higher one. Scale also improves financing terms and widens the buyer universe at exit.

The strategy requires a fragmented market with many owner-managed providers, as found in Germany in technical services, healthcare, skilled trades or IT support, where succession pressure already creates willingness to sell. The risks lie less in buying than in execution: every deal absorbs management capacity, integrating systems, brands and cultures is demanding, and too fast a pace produces a group that is consolidated on paper but not connected operationally. Buyers recognise this at exit and then pay for a collection of separate businesses rather than a platform.

Merger control can also apply once many small acquisitions are considered together. In assessing such a group the decisive question is whether reported growth is organic or acquired, since the two have different drivers and risks. Diligence therefore always requires the two components to be separated. The development of margin over time deserves equal attention, because a falling margin alongside growing scale indicates that synergies are not being realised or are consumed by integration costs. Both analyses determine the exit multiple.
