Management Presentation (MP)

A management presentation is the personal presentation of management to selected potential buyers. The leadership presents the company, its strategy, and its figures and answers questions. For buyers, it is an opportunity to get to know the team behind the business.

It takes place in the second phase of a sale process, after bidders have received the information memorandum and submitted an indicative offer, and usually runs half a day to a full day per bidder, often combined with site visits. The sequence follows a set pattern: presentation of the business model, market and competition, customers, organisation, financials, forecasts and growth initiatives, followed by an extensive question session. Its real purpose goes beyond conveying information, because the bidder judges here whether management itself considers the plan achievable, how deep its understanding of the business drivers runs and whether cooperation after completion can work. For financial sponsors dependent on the existing team this impression is often decisive.

For management the appearance is delicate, because it acts for the seller while also positioning itself with the future owner. Preparation, consistent figures and honest treatment of known weaknesses therefore matter more than a polished performance. Alignment between seller, advisor and management is essential in preparation, because contradictory statements about the market, the plan or investment needs immediately raise doubts about the entire presentation. Rehearsals with critical questions are therefore customary. Handling questions about management's own future also needs settling, since bidders regularly want to know whether the leadership will stay after completion and on what terms. An evasive answer creates more uncertainty here than an open one.
